Service overview

What this service is

Complete annual ROC compliance for private companies. Delivered end-to-end by Bluman's Chartered Accountants with a fixed scope and a published price.

Who needs it

Every private limited company and OPC on the MCA register, including a company with no business activity during the year. Annual filings are due whether or not the company traded.

What Bluman will do

  • Prepare the compliance calendar for the year with each filing, its form and its due date measured from your annual general meeting date.
  • Prepare the financial statements pack for adoption, and the board and general meeting documentation — notices, minutes and resolutions — for the meetings held.
  • Prepare and file the financial statements in AOC-4 and the annual return in MGT-7 or MGT-7A with the required attachments.
  • File director KYC for each director and track other event-based filings that fall due during the year.
  • Update the statutory registers and maintain a filing record with challans and SRNs.

Key deliverables

  • Filed AOC-4 and MGT-7/MGT-7A with challans and SRNs
  • Meeting documentation set
  • Updated statutory registers and a compliance calendar for the next year

Due dates run from the annual general meeting date. Audited accounts are the gating dependency — filings cannot be made on unaudited numbers.

  • · Government fees, portal charges and applicable taxes are billed at actuals.
  • · Timelines start once complete documents and information are received.
  • · Outcomes that depend on a government authority cannot be guaranteed, but every step is tracked and communicated.

How this service runs

  1. 1

    Scoping

Company profile, last filings and director details are reviewed and the year's calendar is prepared.

  2. 2

    Documentation

Meeting notices, minutes, resolutions and the financial statement pack are prepared.

  3. 3

    Filing

AOC-4, MGT-7/MGT-7A and other applicable forms are filed with digital signatures.

  4. 4

    Record

Challans, SRNs and updated registers are handed over.

Forms and filings involved

  • AOC-4

Filing of financial statements with the Registrar.

  • MGT-7 / MGT-7A

Annual return; MGT-7A applies to OPCs and small companies.

  • DIR-3 KYC

Annual KYC for each director holding a DIN.

  • ADT-1

Intimation of auditor appointment, where applicable for the year.

Documents required

  • Audited financial statements for the year with the auditor's report
  • Board report and details of meetings held
  • Director and shareholder details with any changes during the year
  • Digital signature tokens of the signing director and, where required, the professional
  • Previous year's filings and SRNs

What we need from you

  • Get the accounts audited and adopted in time.
  • Keep director digital signatures valid; an expired DSC stops every filing.
  • Pay MCA fees and any additional fee for delay at actuals.

Important conditions

  • Statutory audit is performed by your auditor and is not part of this service.
  • Government fees and additional fees for late filing are payable by you.
  • Bluman prepares and files; registration of the forms is done by the Registrar of Companies.
