What this service is
Not-for-profit company incorporation with licence. Delivered end-to-end by Bluman's Chartered Accountants with a fixed scope and a published price.
Who needs it
Promoters setting up a not-for-profit for charitable, educational, scientific, social welfare or similar objects, who want a company structure rather than a trust or society. Profits must be applied to the objects and cannot be distributed as dividend.
What Bluman will do
- Assess whether a Section 8 company is the right vehicle compared with a trust or society, given your funding sources and governance needs.
- Draft the objects, the projected statement of income and expenditure and the declarations required for the licence application.
- File the licence application and the incorporation application with the memorandum and articles in the prescribed form for Section 8 companies.
- Respond to Registrar queries on the objects and the application, which are scrutinised more closely than an ordinary incorporation.
- Hand over the licence, incorporation certificate, PAN and TAN, and explain the ongoing restrictions and filings that apply.

Important conditions
- The licence is granted at the discretion of the authority; approval cannot be promised.
- Registration under sections 12A and 80G for tax exemption, and FCRA registration, are separate applications and separate services.
