What this service is

Voluntary strike-off under Section 248. Delivered end-to-end by Bluman's Chartered Accountants with a fixed scope and a published price.

Who needs it

Companies that have stopped operations and want to be removed from the register rather than left dormant, accumulating annual filing defaults and director disqualification risk.

What Bluman will do

  • Test eligibility for the strike-off route, including the conditions on operations, assets, liabilities and pending filings, and advise where the route is not available.
  • Identify the clean-up needed first — overdue annual filings, closure of bank accounts, settlement of liabilities and disposal of assets.
  • Prepare the affidavits, indemnity bonds and statement of accounts required from the directors, with the shareholder resolution.
  • File STK-2 with the prescribed attachments and government fee, and respond to Registrar queries.
  • Track the application until the notice of striking off is published and the company's status changes on the MCA record.

Forms and filings involved

  • STK-2

    Application to the Registrar for removing the company's name from the register.

  • STK-3 / STK-4

    Indemnity bond and affidavit given by the directors.

  • MGT-14

    Filing of the special resolution, where required.

  • Statement of accounts certified as at a date within the prescribed period before the application
  • Bank account closure evidence
  • Shareholder consent or special resolution
  • Director identity documents for affidavits and indemnity bonds
  • Status of pending annual filings

What we need from you

  • Settle all liabilities and close bank accounts before applying — the declarations made are on oath.
  • Complete overdue annual filings and pay their additional fees.

Important conditions

  • Striking off is ordered by the Registrar; approval and timing cannot be promised.
  • Companies with pending litigation, unsettled liabilities or investigation are not eligible and need a different route, such as winding up.
  • Liquidation and NCLT proceedings are outside this service.
